Stage 0 of the Project
In the beginning, God created a Strategy.
Before commencing the project, our team prepares a preliminary analysis. Based on this assessment, we select the most suitable approach depending on the client’s priorities, such as speed, flexibility, security, and cost optimisation.
Stage 0 also allows us to coordinate the work of other entities involved in the project and to address key questions, including:
- whether the issuer must maintain a specific level of share capital,
- what the issuer’s obligations and estimated costs will be,
- and whether relevant licenses or authorisations are required.
This stage concludes with a proposed project implementation plan, its technical specification, and a draft agreement outlining our cooperation.
Based on our experience, we present below the most common elements of our support within Stage 0.
Company registration

A stable corporate structure is the foundation of a successful token project. Under MiCA, an issuer in the European Union is required to identify, prevent, manage, and disclose any conflicts of interest that may arise. An appropriate corporate structure can create automatic procedures that help fulfil this obligation (for example, for Utility Tokens, as regulated in Article 14(1)(c) of MiCA).
Based on the above, it is essential to ensure an appropriate composition of the company’s management board as well as a well-designed shareholder and capital structure for the entity implementing the project. To support this process, we assist in preparing, among others:
- Articles of Association,
- corporate resolutions,
- agreements with management board members and other individuals involved in the project.
From the very beginning, it is worth ensuring that the registration documents are properly structured and drafted. Careful planning of the legal entity acting as the issuer can save project founders both time and financial resources.
Preparing a company for token issuance requires an individual approach. It is a process that may differ significantly from a standard company incorporation procedure.
At the initial stage of the project, companies may operate in two forms:
- as companies in formation, or
- as fully registered legal entities entered into the official register.
Companies in formation may generally incur obligations and issue invoices while carrying out business activities.
However, in the case of token projects, the situation may be different. Under MiCA, the public offering or admission to trading of crypto-assets in Europe may only be carried out by a registered legal entity. Therefore, a company in formation cannot submit a Whitepaper notification to the relevant financial supervisory authority, and such notification is a necessary prerequisite for the review of the project documentation.

A stable accounting structure constitutes Stage 0 of the services we provide. Assets acquired in exchange for funds from investors purchasing crypto-assets may take the form of:
- cash funds, or
- other crypto-assets.
Where settlement takes place in other crypto-assets, the specific accounting treatment of such assets should be taken into account. Depending on the jurisdiction, they may be classified differently - ranging from investments to intangible assets.
From the perspective of MiCA, it is also important that the project’s tokens held by the team or by the offeror are not classified as financial instruments. If they were, broader financial regulations could apply and the MiCA framework would no longer be applicable.
It is advisable to inform the accounting firm about the specific nature of a token project at the very beginning of the cooperation.
Check-List
As part of our services, we provide a check-list of key information that should be communicated to the individuals responsible for the accounting of companies involved in the token project.
Bank
Another key element is opening a corporate bank account. Unfortunately, many financial institutions are reluctant to cooperate with companies operating in the crypto-asset sector. For this reason, it is important to properly describe the company’s business model.
It may be helpful to indicate that the company holds, for example, a relevant license or that the management board has undertaken to submit a whitepaper notification for the crypto-asset being created.
It is also advisable to explain that the company’s core activity is software development, specifically the creation of a website that functions as a platform integrated with properly programmed smart contracts. In the initial phase of the project, software development is therefore the primary business activity, as having and presenting a functioning website is a necessary element of the whitepaper.
It is also worth highlighting certain obligations imposed on token issuers. For example, in the case of Utility Tokens, pursuant to Article 10(3) of MiCA, offerors must ensure that the funds or crypto-assets collected during the public offer are held in custody by one of the following:
- a credit institution, where funds are raised during the public offer;
- a crypto-asset service provider (CASP) providing custody and administration of crypto-assets on behalf of clients.
VAT Registration
When starting the project, it is advisable to begin with VAT registration. This allows the expenses related to the development of the platform and the generation of the token to be treated as input VAT.
In the case of cooperation with a foreign service provider and registration for EU VAT, this will also allow invoices to be issued under the Reverse Charge mechanism, i.e. with a $0 \%$ VAT rate.

Potential exemption from MSB registration - Legal analysis indicates that platforms which do not directly transmit funds and rely on licensed financial institutions may not qualify as Money
Service Businesses (MSB) under U.S. regulations, particularly when token transactions occur outside the United States.
Dedicated legal structure for DAO entities - Wyoming is one of the first jurisdictions in the world to introduce a legal framework specifically designed for Decentralized Autonomous Organizations (DAO).
