What documents is the issuer of a Utility Token required to prepare and submit?

A Whitepaper containing the information required under Article 6(1) of MiCA; Within Section J of the Whitepaper: information on sustainability indicators relating to adverse climate impacts and other adverse environmental impacts, prepared in accordance with the regulatory technical standards specifying the content, methodologies and presentation; An Explanatory Annex for the purposes of Article 8(4) of MiCA; Certain supervisory authorities additionally require an extract from the commercial register relating to the issuer, in order to demonstrate and fulfil the home Member State criterion pursuant to Article 6(1)(a) of MiCA.

Requirements

The Whitepaper must be published at a dedicated web address of the platform on which the public offer of the Token is conducted.

The document must be submitted in an encoded XHTML format, by tagging the fields specified in the annex using the Inline XBRL 1.1 specification of the eXtensible Business Reporting Language (XBRL).

Our team provides comprehensive support in this regard, ranging from the substantive preparation of the documentation to the proper encoding of the documents into an XHTML file format. The current Whitepaper framework is governed, inter alia, by Regulation (EU) 2023/1114. Our team ensures the proper completion of the documentation and continuously monitors all amendments to the legal acts regulating this matter. This is particularly important given the frequent changes in this regulatory area. For example, Regulation (EU) 2023/1114 in its current wording entered into force on 23 December 2025, introducing an obligation for issuers to prepare the Whitepaper in accordance with a new, strictly defined format.

Our team is also prepared to conduct an environmental audit of the Token, on the basis of which Section J of the Whitepaper will be prepared, containing information on sustainability indicators relating to adverse climate impacts and other adverse environmental impacts.

MiCA Sustainability Disclosures Audit

MiCA Regulation obligates white paper preparers to disclose sustainability data in accordance with Commission Delegated Regulation (EU) 2025/422.

Requirements

Based on our team members previously completed projects, our team uses proven and tested MiCA-compliant templates and methodology, which must include: 

- General informations about legal entity and crypto-asset; 
- Consensus Mechanism; 
- Incentive Mechanisms and Applicable Fees; 
- Period to which the disclosed information relates; 
- Energy consumption; 
- Energy consumption sources and methodologies. 

Energy consumption information must include the total amount of energy used for the validation of transactions and the maintenance of the integrity of the distributed ledger, and is expressed in kilowatt-hours per calendar year.

We use data sources such as the University of Cambridge Blockchain Network Sustainability Index or EtherScan. If the annual energy consumption of the project exceeds 500,000 kilowatt-hours, an audit should be carried out to obtain further information such as:

- Percentage of renewable energy consumption; 
- Scope 1 GHG emissions per calendar year, amount in tonnes (t) carbon dioxide equivalent (CO2e); 
- Scope 2 GHG emissions, expressed in tCO2e per calendar year; 
- Average GHG emissions (scope 1 and scope 2) per validated transaction, amount in kilogram (kg) CO2e (Tx).

For this reason, the amount of energy consumed by the project usually does not exceed the limit of 500,000 kilowatt-hours per year, which means that there is no obligation to prepare an extended audit. Nevertheless, applied technology continues to maintain high efficiency. Our Tokens operate on the most advanced version of Ethereum blockchain, which uses a Proof-of-Stake (PoS) consensus mechanism. Transition from proof-of-work (PoW) to proof-of-stake (PoS) cut the blockchain's energy usage by over 99%.
